HighWire Software - Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services provided by HighWire Software ("HighWire" or "we") through our Software as a Service platform ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

b. You shall not:

i. Use the Platform in any manner that could disable, overburden, damage, or impair the Platform or interfere with any other party's use of the Platform.

ii. Attempt to gain unauthorized access to any part of the Platform, accounts, computer systems, or networks.

iii. Use any automated means, including bots, robots, or scrapers, to access or interact with the Platform.

c. HighWire reserves the right to suspend or terminate your access to the Platform if we believe that you have violated any provision of these Terms.

4. Intellectual Property

a. The Platform, including all content, features, and functionality, is owned by HighWire and is protected by copyright, trademark, and other intellectual property laws.

b. You are granted a limited, non-exclusive, revocable license to access and use the Platform for your internal business purposes only.

c. You shall not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without the prior written consent of HighWire.

5. Privacy

6. Disclaimer of Warranties

b. HighWire disclaims all warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

In no event shall HighWire, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages arising out of or in connection with your use of the Platform, even if HighWire has been advised of the possibility of such damages.

b. HighWire's total liability to you for all claims arising out of or related to these Terms or the Platform shall not exceed the amount paid by you, if any, to HighWire during the twelve (12) months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless HighWire, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform or any violation of these Terms.

9. Modifications to Terms

HighWire reserves the right to modify or update these Terms at any time without prior notice. Any changes to these Terms will be effective immediately upon posting. Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of such changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Federal jurisdiction (United States). Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts.
